Terms of Service

Our team is committed to building and maintaining a long-term business relationship with you.

We do our best to communicate your message to your audience through our animations and designs. You can trust our flexibility and our utmost attention throughout the process. Please review the following terms to support and maintain our relationship.

Prices

All prices listed on our official website (toonara.studio) or sent to our official email address (info@toonara.studio) are not included in any additional costs other than those imposed by official and legal authorities in each country. 

Changes to Work

We will provide a new quote for any additional changes (not specified in our quotes) to any service we provide. Additional fees will apply for any work or services previously performed that are required to be repeated or re-performed upon your request. However, at our sole discretion, we may offer price reductions. There will be no reduction or refund for any work or services completed as requested and not accepted by you. 

If the client requests modifications or revisions, they will be implemented immediately and subject to the work schedule and technical bookings within our studios. Any additional modifications requested beyond those specified in our proposals will be considered outside the scope of work after the final video is delivered. Additional fees will apply for any additional work required. The scope of any additional work will be agreed upon between the two parties before work begins. The client is responsible for providing clear and timely feedback.

Delayed feedback can impact project timelines and result in additional costs if lengthy modifications are required. Client requests for modifications must be consistent with the originally defined project scope. Any significant changes to the project’s direction or objectives must be communicated separately to the client and mutually agreed upon. 

To improve the review process, we encourage customers to compile feedback from all key stakeholders. Customers should designate a single point of contact responsible for coordinating feedback and relaying it to our team to ensure clarity and reduce the possibility of misunderstandings. We primarily rely on designating the contact who submitted the request as the official entity responsible for any legal obligations.

Invoices and Payment

All creative fees are due upon commencement of work. Funds must be received in our account before work begins. An invoice will be issued at the end of the project, prior to delivery of the final work. All prices quoted are tax-exclusive. Full payment must be made within seven (7) days of the invoice date, or the order will be rescheduled. 

Termination

Either party may terminate this project at any time with written notice. In the event of project termination, we agree to perform all prepaid work or refund you for any prepaid work that is not performed. 

If you terminate this project upon completion of any phase, you will be liable for our fees and expenses up to the end of that phase. If you cancel this project during any phase, you agree to pay the full agreed fees for that phase and all expenses incurred up to the date of cancellation, including any expenses related to unbidden work that may have already commenced. You also agree to reimburse us for any costs incurred by third parties. 

Use of Work

Your use of our materials and/or services (“Work”) is limited to the specific purpose described in our offer. We will separately indicate other uses if our work (particularly explainer videos and video productions) is intended to be used in any broader context than that described in our offer. Any creative suggestions we submit to you that we do not develop or produce, for whatever reason, remain our sole property and may not be used or copied in any way.

Quality

Any complaint or notice of an error in our work must be notified to us in writing within seven days of receipt. Failure to provide such notice constitutes your acceptance of the work. It is your responsibility to review and approve the content of all submitted work, including text, illustrations, graphics, and artwork. We will not be liable for any errors that you do not correct. 

Access to Artwork

You must allow us reasonable access to the original photographs, illustrations, and artwork we have produced, and to reproduce and publish such original photographs and/or artwork with a background copy for the purpose of promoting your business. 

Governing Law

These Terms of Business are governed in all respects by the laws of Indonesia and are subject to the exclusive jurisdiction of the courts of Indonesia. 

Project Duration and Delivery

The project will begin on the agreed-upon start date specified in the project schedule. The project schedule, including key milestones and deadlines, will be outlined in the project scope document. The project manager will work diligently to ensure the project adheres to this schedule. Any changes to the schedule will be communicated to both parties and agreed upon. Unforeseen circumstances may delay the project. 

Copyright and Ownership

When a client submits any material, including logos, images, trademarks, footage, and audio, it is the client’s responsibility to obtain prior permission from the original copyright holder.

By agreeing to these terms and conditions, the Client hereby releases us from any claims, disputes, expenses, or similar claims that may arise from violating any copyright laws or prior terms and conditions of the material. We reserve all rights to use footage captured during the production of any project commissioned by the Client. However, as part of our video production service, we grant the Client an unlimited license to use such footage.
